Techlytics Institute of Technology: Terms and Conditions

Contents

1. About these Terms

1.1 These Terms and Conditions ("Terms") govern your use of the website, learning portal and services of Techlytics Institute of Technology and Innovation ("TIT", "we", "us", "our").

1.2 By creating an account, applying for or enrolling in a Programme, attending a session, or using our website or Portal, you agree to these Terms. If you use our services on behalf of an organisation, you confirm that you have authority to bind that organisation.

1.3 Where TIT has signed a separate written agreement with you or your organisation (such as a training agreement, a proposal accepted in writing, a memorandum of understanding or a sponsorship agreement), that agreement prevails over these Terms to the extent of any conflict.

1.4 Our Privacy Policy explains how we handle personal data and forms part of these Terms.

3. Definitions

  • Client: an organisation that engages TIT to train its staff, members or customers.
  • Sponsor: an organisation that funds a Programme for participants it does not employ, including government agencies, development partners, professional associations and corporate foundations.
  • Engagement Terms: the proposal, order form, agreement or memorandum of understanding that governs a Client or Sponsor engagement.
  • Learner: any individual who applies for, registers for, attends or accesses a Programme or the Portal, whether the place is paid for by the Learner, a Client or a Sponsor.
  • Portal: TIT's online learning portal, including free self-paced courses and any learner-facing AI features.
  • Programme: any course, cohort, bootcamp, masterclass, workshop, webinar, fellowship, assessment or other learning activity TIT delivers, in person or online.
  • Materials: all content TIT provides, including curricula, slides, videos, workbooks, datasets, assessments, code, templates and methodologies, including the D³RM method.

4. Our services

4.1 We offer: (a) corporate workforce training designed and delivered for Clients; (b) sponsored and funded Programmes delivered for Sponsors; (c) open enrolment cohorts, masterclasses and webinars; (d) free self-paced courses on the Portal; (e) assessments and certification; (f) career and placement pathways with partner employers; and (g) related events and content.

4.2 We may update, change or withdraw any Programme, course content, schedule, facilitator or delivery format to keep content current or for operational reasons. Where a change materially affects a contracted or paid Programme, we will tell you in advance where reasonably possible.

5. Accounts and the Portal

5.1 Give accurate information when you register and keep it up to date.

5.2 Keep your login details confidential. You are responsible for activity under your account. Tell us promptly at contact@techlytics.ai if you suspect unauthorised use.

5.3 Accounts are personal. Do not share an account or let anyone else use your seat. Corporate seats may be reassigned only by the Client through TIT.

5.4 Free Portal courses are provided as available. We may introduce paid tiers, change free content or limit access, and will give notice before charging for anything that was previously free to you.

5.5 The Portal is intended for users aged 18 and over. Where a Programme admits Learners under 18, we will obtain consent from a parent or guardian before collecting their personal data or admitting them.

6. Applications, eligibility and admission

6.1 Some Programmes have eligibility criteria, application steps, entry assessments or limited places. Criteria may be set by TIT or by a Sponsor.

6.2 An application does not guarantee a place. Admission decisions are made by TIT, or jointly with a Sponsor or partner institution where the Engagement Terms provide for it, and are final.

6.3 You confirm that the information in your application is true. We may withdraw an offer or remove you from a Programme if information you gave is false or misleading.

6.4 Some sponsored Programmes require a commitment to attend, complete assessments, or take part in impact surveys after completion. These conditions will be stated in your offer and form part of your agreement with us.

7. Corporate and sponsored engagements

7.1 Each Client or Sponsor engagement is governed by its Engagement Terms, which set scope, deliverables, number of Learners, schedule, fees and reporting. These Terms apply to matters the Engagement Terms do not cover.

7.2 The Client or Sponsor is responsible for nominating Learners, securing their availability, providing any agreed venue, equipment, connectivity and data, and obtaining its own internal approvals.

7.3 TIT reports attendance, participation, assessment results and completion status to the Client or Sponsor funding a Learner's place, as explained in our Privacy Policy.

7.4 Where a Sponsor provides stipends, allowances or other benefits to Learners, those are paid under the Sponsor's rules and timelines unless your offer letter states that TIT will disburse them. Where TIT disburses stipends, we may withhold or stop payments if a Learner does not meet the attendance or conduct conditions in the offer.

7.5 Client or Sponsor data shared with us for an engagement, such as internal datasets used for applied projects, is handled under the Engagement Terms and any data processing agreement between us.

8. Fees, invoicing and refunds

8.1 TIT's paid Programmes are invoiced to Clients and Sponsors under their Engagement Terms. Fees, payment schedules, taxes, cancellation charges and refunds are as set out in those Engagement Terms.

8.2 Unless the Engagement Terms say otherwise: (a) invoices are payable within 30 days of the invoice date; (b) fees exclude VAT and other applicable taxes, which will be added at the prevailing rate; and (c) after written notice, we may suspend delivery while an undisputed invoice is overdue.

8.3 Where TIT accepts payment directly from an individual for a specific Programme, the fee, payment method and any refund or transfer position will be stated on the enrolment page or invoice at the time of purchase, and that statement governs that purchase.

8.4 Learners on Client-funded or Sponsor-funded Programmes owe TIT nothing unless we state otherwise in writing. If anyone asks you to pay to secure a place on a sponsored Programme, report it to contact@techlytics.ai.

9. Attendance, completion and certificates

9.1 Each Programme sets its completion requirements, which may include minimum attendance, assignments, projects, assessments and a final demonstration.

9.2 We issue certificates of completion or achievement only to Learners who meet the stated requirements. Where a partner institution or accrediting body co-certifies a Programme, its own terms also apply to that certificate.

9.3 A TIT certificate confirms what a Learner completed with TIT. It is a degree, diploma or professional licence only where it expressly says so.

9.4 We may confirm the validity of a certificate to a third party who presents it to us, such as a prospective employer.

9.5 We may revoke a certificate obtained through misrepresentation, plagiarism, cheating or other misconduct.

10. Learner conduct and academic integrity

10.1 You agree to:

  • treat facilitators, staff, fellow Learners and hosts with respect;
  • follow venue rules and safety instructions;
  • submit work that is your own, credit your sources and collaborators, and use AI tools only as each Programme permits; and
  • keep confidential any Client data, case material or information about fellow Learners that you see during a Programme.

10.2 You must not:

  • harass, discriminate against or abuse anyone;
  • share login access, recordings or Materials without permission;
  • attempt to disrupt, scrape, reverse-engineer or gain unauthorised access to the Portal or any of our systems; or
  • upload malicious code, unlawful content, or personal data you have no right to share.

10.3 A breach of this section may lead to a warning, removal from a session, suspension, termination of access, withdrawal of stipends TIT administers, revocation of certificates, and notification of the Client or Sponsor.

11. AI tools in our Programmes and on the Portal

11.1 Our Programmes teach and use AI tools, and the Portal may include a learner-facing AI assistant powered by third-party models (currently Claude, provided by Anthropic).

11.2 AI outputs can be inaccurate, incomplete or out of date. Check outputs before relying on them, and treat them as learning support rather than professional, legal, financial or medical advice.

11.3 Enter confidential information of your employer or any third party, or sensitive personal data, into an AI tool (including the Portal assistant) only where the Programme instructions or your employer's policy expressly allow it.

11.4 We may review AI assistant conversations on the Portal to keep the service safe, support Learners and improve our courses, as described in our Privacy Policy.

11.5 Your use of third-party AI tools during a Programme may also be governed by that provider's own terms.

12. Laboratories and equipment

12.1 Some Programmes give access to laboratories and equipment, including edge AI compute hardware, cameras, sensors and development kits, at TIT or partner sites.

12.2 Use equipment only as instructed, follow all safety and handling guidance, and report faults or damage immediately.

12.3 Equipment remains the property of TIT or the partner institution and may be removed from the site only with written permission.

12.4 You may be responsible for loss or damage caused by your negligence or misuse. Where a Client or Sponsor has agreed to cover such costs, we will look to them first.

13. Intellectual property

13.1 TIT owns, or is licensed to use, all intellectual property in the Materials, the Portal and our brand. These Terms transfer no ownership to you.

13.2 We grant you a personal, non-exclusive, non-transferable, revocable licence to access and use the Materials for your own learning, during and after the Programme. Corporate Learners may apply the Materials within their own organisation's work as the Engagement Terms permit.

13.3 You may copy, resell, republish, record, distribute or teach from the Materials, or build commercial training products from them, only with our written consent.

13.4 You own the original work you create in a Programme, such as project code, models, reports and presentations, subject to (a) any rights of a Client or Sponsor under the Engagement Terms, particularly where you work on their data or problems, and (b) third-party components such as open-source libraries, datasets and starter code, which remain under their own licences. You grant TIT a non-exclusive, royalty-free licence to use your Programme work for assessment and quality assurance and, with your consent, to showcase it in TIT materials with credit to you.

13.5 Some Materials come from third-party partners and remain subject to their terms.

14. Recordings, photography and testimonials

14.1 We may record online sessions and take photographs or video at in-person sessions, events and demonstrations for learning, records, reporting to Clients and Sponsors, and promotion.

14.2 We will tell you when a session is being recorded. We collect consent for promotional use of your image at registration or at the session. You can withdraw that consent at any time by telling the programme team or writing to contact@techlytics.ai; we will stop future use, though we cannot recall printed or already-published items.

14.3 We publish your name alongside a quote or testimonial only with your permission.

Our services run on third-party platforms such as video conferencing, learning, email and forms tools, and your use of those platforms may be subject to their terms. Links to third-party sites are provided for convenience; we do not control and are not responsible for their content.

16. Placement and career pathways

16.1 Some Programmes include placement, internship, interview or networking opportunities with partner employers.

16.2 We do not guarantee employment, a placement, a salary outcome or any other result from completing a Programme. Hiring decisions belong to the employer.

16.3 We share your profile with prospective employers only as explained in our Privacy Policy.

17. Changes, postponement and cancellation by TIT

17.1 We may postpone, reschedule, move online or cancel a session or Programme where necessary, including for low enrolment, facilitator unavailability, venue issues, safety concerns or events outside our control.

17.2 For Client and Sponsor engagements, the Engagement Terms govern the consequences. For a Programme an individual paid for directly, we will offer a transfer to another date or a refund of the fee for the cancelled portion, unless the enrolment terms stated otherwise.

18. Disclaimers

18.1 We deliver our services with reasonable skill and care. Beyond that, and to the extent the law permits, the website, the Portal and free content are provided "as is" and "as available".

18.2 Learning outcomes depend on your effort, prior knowledge and how you apply what you learn. Materials are educational and are no substitute for professional advice on your specific circumstances.

18.3 These Terms leave untouched any rights you have under the Federal Competition and Consumer Protection Act 2018 or any other law that cannot be excluded by contract.

19. Limitation of liability

19.1 These Terms do not exclude or limit liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited by law.

19.2 Subject to clause 19.1, TIT is not liable for indirect or consequential loss, or for loss of profit, revenue, business, data or opportunity.

19.3 Subject to clause 19.1, our total liability arising from or in connection with a Programme is limited to: (a) for Clients and Sponsors, the cap in the Engagement Terms or, if none, the fees paid for that Programme in the 12 months before the claim; (b) for individuals who paid directly, the fee paid for that Programme; and (c) for free services, ₦100,000.

20. Indemnity

If you use our services for business purposes, you agree to indemnify TIT against third-party claims arising from your breach of clauses 10, 11.3 or 13, or from content or data you supply to us.

21. Suspension and termination

21.1 You may close your Portal account at any time by writing to contact@techlytics.ai.

21.2 We may suspend or end your access if you breach these Terms, if the law requires it, or at the request of the Client or Sponsor funding your place.

21.3 Clauses on intellectual property, fees owed, disclaimers, limitation of liability, indemnity and governing law survive termination.

22. Privacy

We process personal data in line with the Nigeria Data Protection Act 2023 and the NDPA General Application and Implementation Directive 2025. Our Privacy Policy sets out the detail.

23. Force majeure

TIT is not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, civil unrest, strikes, government action, power or network outages, and failures of third-party platforms.

24. Governing law and disputes

24.1 These Terms are governed by the laws of the Federal Republic of Nigeria.

24.2 The parties will first try to resolve any dispute through good-faith discussion within 30 days of written notice. A dispute that remains unresolved may be referred to mediation at the Lagos Multi-Door Courthouse. If mediation does not resolve the dispute within 60 days of referral, either party may refer it to the courts of Lagos State, which will have exclusive jurisdiction, unless the Engagement Terms provide for arbitration.

25. General

25.1 Changes to these Terms. We may update these Terms from time to time. We will publish the updated version with a new effective date and, for material changes, email registered users at least 14 days before the change takes effect. Continued use of our services after that date means you accept the updated Terms.

25.2 Entire agreement. These Terms, the Privacy Policy and any Engagement Terms form the whole agreement between you and TIT on their subject matter.

25.3 Severability. If a court finds any provision invalid, the rest of these Terms remain in force.

25.4 No waiver. A delay in enforcing any right is not a waiver of it.

25.5 Assignment. We may transfer our rights and obligations to an affiliate or successor organisation. You may transfer yours only with our written consent.

25.6 Notices. Notices to TIT go to contact@techlytics.ai and our registered office. We will send notices to the email address on your account or in the Engagement Terms.
